IN ADDITION TO VORNE'S STANDARD SALES TERMS AND CONDITIONS, A COPY OF WHICH IS AVAILABLE AT WWW.VORNE.COM/LEGAL, ALL ORDERS FOR XL SERIES PRODUCTS (“XL”) ARE SUBJECT TO THE ADDITIONAL TERMS AND CONDITIONS OUTLINED BELOW.
Vorne encourages prospective XL customers to discover the value of XL products in their own manufacturing environment. Therefore, Vorne XL products are available for a ninety (90) day trial period (the “Trial Period”) for qualified applications. The Trial Period shall apply only to the first XL unit shipped to the customer (the “Trial Unit”). At the end of the Trial Period, the customer shall either (i) pay Vorne for the Trial Unit, or (ii) return the Trial Unit to Vorne.
XL products represent a substantial investment in development effort by Vorne, and as such have substantial competitive value. The customer agrees that it shall not, at any time, directly or indirectly, (i) make any XL product, or any of its associated hardware, software, documentation, intellectual property, or related information available to any third party in any form or manner without prior written consent of Vorne, or (ii) use, or facilitate others to use, any XL product, or any of its associated hardware, software, documentation, intellectual property, or related information in any form or manner that is competitive with Vorne's business.
Vorne regularly adds new features and other enhancements to XL. As a result, specifications and functionality are subject to change without notice. In some cases, updates to newer versions may require the customer to reconfigure XL or return the unit to Vorne for the update.
Although Vorne may provide technical support, upgrades, updates or modifications (collectively services) for XL units or software without charge, there is no obligation on the part of Vorne, other than those obligations expressed as part of Vorne’s Product Warranty Statement, to continue to provide such services without charge in the future. Vorne reserves the right to charge for technical support, upgrades, updates or modifications in the future for both new and existing XL units.
